Internal Audit Structure and Operation
►Internal Audit:
- The purpose of the Company's internal audit is to assist the Board and managers in examining and reviewing the effectiveness of the internal control system to ensure the internal control system may be effectively implemented and to measure the operating achievements and efficiency.
- The internal audit department of the Company executes the audit plan approved by the Board and executes separate project audits based on the practical requirements to ensure the implementation of the internal control system.
- The audit findings and results from the internal audit should be reported at the regular meetings of the Board and otherwise reported to the Chairman and Independent Directors each month or when necessary.
- The audit department is subordinated to the Board; the appointment, dismissal, evaluation, and remuneration of its personnel should be proposed to the Board for resolution according to the specifications of the Securities and Exchange Act.
►Communication between Independent Directors and Chief Auditor and CPAs:
- Before the 30th of each month, the Audit Office should report the results and findings to Independent Directors regarding the execution of internal control audit and follow-up items required by Independent Directors and present at the meeting of the Audit Committee to report the audit execution. An instant report will be made to Independent Directors for any significant anomaly, and an Audit Committee meeting may be convened when necessary.
- On 10 December 2021, the Company established its Audit Committee that convenes meetings at least once every quarter; the internal audit report is made during the quarterly Audit Committee meeting; a report will also be instantly made to the Audit Committee for any special circumstance.
- CPAs report the audit or review results of financial statements and other communication items required under relevant laws and regulations at Audit Committee meetings periodically; a report will also be instantly made to the Audit Committee for any special circumstance. If Independent Directors have any questions regarding the Company's financial and business status, they may contact the Company's CPAs for communications and understanding at any time.

► Execution and Results:
- Executions were made according to the annual audit plan resolved by the Board.
- Declarations of relevant operations were made as scheduled according to the Regulations Governing Establishment of Internal Control Systems by Public Companies.
- At present, no significant anomaly is found.
